Version 4Updated 18 Oct 2026

When to use

  • The user is about to sign a freelance or services agreement, employment contract, SaaS terms, a lease or an NDA.
  • The other side drafted the contract and the user wants to know who it favours and what to push back on.
  • The user wants wording and a message they can send, not just a list of concerns.

When not to use

  • High-stakes or unusual deals (acquisitions, financing, settlements, anything with large personal liability). Use a qualified lawyer; this is triage.
  • A stack of related deal documents to review against each other. The Due Diligence 500 skill handles cross-document review.

Example

User (illustrative): "Lease for the first premises of my physiotherapy practice, five years. I'm the tenant through my one-person company; the agent says it's their standard lease. I can't afford to move twice. Text attached."

Result (excerpt)

Contract review: commercial lease, you are the tenant

Risk triage, not legal advice. Assumed: the draft is open to changes despite being called standard.

Verdict: Negotiate

Workable once two clauses change: you would repair the roof and structure of a building you do not own, and your personal guarantee has no limit. If the landlord refuses both, walk.

2. Findings

Exposure

§1 "Premises" with §9.1 Repair (Red)

"keep the Premises in good and substantial repair and condition"
Numbers: the whole 5-year term, no cap. · What it means for you: §1 defines the Premises as the unit "including the roof, foundations and main structure", so a failing roof is yours to fix. · Works with: §14, which lets the landlord do the work and charge you its cost plus 15 %.

§21 Guarantee (Red)

"The Guarantor shall remain liable notwithstanding any assignment"
Numbers: no amount cap; the whole term and any renewal. · What it means for you: you personally pay the rent if your company cannot, even after you sell the practice and pass the lease on.

Exit

§18 Break (Yellow)

"provided that the Tenant has complied in full with all covenants"
Numbers: break at the end of year 3, on 6 months' written notice. · What it means for you: one unpaid invoice or an unfinished repair under §9.1 can cancel your right to leave.

3. Negotiation kit

§1 and §9.1 (Must change): Ask for: "The Tenant's repairing obligation excludes the roof, foundations and main structure and is limited to keeping the interior in no worse condition than shown in the attached schedule of condition." · Why: a five-year lease should not make you pay for the building's structure.

5. Message to send

Hi [name],
Thanks for the draft lease. We would like to go ahead, and need three changes before signing: (1) repairs under §1 and §9.1 limited to the interior, measured against a schedule of condition; (2) the §21 guarantee capped at six months' rent and ending on a lawful assignment; (3) the §18 break conditional only on rent paid and vacant possession. Proposed wording for each follows below. Could we settle these this week?
